1. Acceptance of Terms

By accessing or using CartyClick ("the Platform", "we", "us"), you agree to be bound by these Terms & Conditions. If you do not agree, please do not use the Platform. These terms apply to all users, including store owners and their customers.

2. Description of Service

CartyClick provides a SaaS platform that allows small businesses and independent sellers ("Merchants") to create online storefronts, manage products, accept orders, and communicate with customers. We are not a party to transactions between Merchants and their customers.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use.

4. Subscription Plans & Billing

CartyClick offers Free, Basic, and Pro subscription plans. Paid plans are billed monthly. By subscribing to a paid plan, you authorise us to charge your payment method on a recurring basis. Subscriptions renew automatically unless cancelled before the next billing date.

No refunds. All subscription fees are non-refundable. We do not issue refunds or credits for the current billing month, partial months, or unused time remaining on a subscription — including in cases of downgrade or early cancellation. No prorated refunds are provided under any circumstances, except where required by applicable law.

Cancellation takes effect at end of billing cycle. If you cancel your subscription or downgrade your plan, you will retain access to your current plan's features until the end of your paid billing period. The change to the lower plan (or Free plan) will take effect automatically at the start of the next billing cycle. You will not be charged again after cancellation unless you re-subscribe.

5. Merchant Responsibilities

Merchants are solely responsible for:

• The accuracy of product listings, descriptions, and pricing
• Fulfilling orders placed by their customers
• Compliance with all applicable laws, including food safety, consumer protection, and taxation
• Handling customer disputes, refunds, and complaints
• Ensuring their storefront content does not infringe third-party intellectual property rights

6. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorised access to other users' accounts or our systems
• Upload malicious code, viruses, or any content designed to disrupt the Platform
• Resell or sublicense access to the Platform without our written consent
• Use automated means to scrape, crawl, or extract data from the Platform

7. Intellectual Property

All content, trademarks, and technology on the Platform are owned by CartyClick or its licensors. You retain ownership of content you upload (product images, store details), but grant us a licence to display and process it to provide the service.

8. Limitation of Liability

To the maximum extent permitted by law, CartyClick shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue or data, arising from your use of the Platform. Our total liability shall not exceed the fees paid by you in the three months preceding the claim.

9. Service Availability

CartyClick is currently in a soft launch phase. During this period, the Platform is under active development and may undergo significant upgrades, feature changes, or infrastructure improvements. As a result, you may experience planned or unplanned disruptions, temporary outages, or periods of reduced functionality. We aim to keep the Platform available at all times but do not guarantee uninterrupted access. We will endeavour to provide advance notice of scheduled maintenance where reasonably practicable. By using the Platform during this phase, you acknowledge and accept these limitations.

10. Termination

You may cancel your account at any time through the billing portal. We reserve the right to suspend or terminate any Merchant account at our sole discretion, with or without notice, for any of the following reasons (including but not limited to):

• Breach of any provision of these Terms
• Operating an illegal, fraudulent, or deceptive storefront
• Selling prohibited, counterfeit, or unlicensed goods or services
• Engaging in any activity that may expose CartyClick or its users to legal liability
• Receiving repeated complaints from customers regarding fulfilment, fraud, or misrepresentation
• Any conduct that we reasonably determine to be harmful to the Platform, other users, or the public

Upon termination, your access to the Platform ceases immediately. No refund will be issued for any remaining subscription period. We reserve the right to report illegal activity to the relevant authorities.

11. Changes to Terms

We may update or modify these Terms at any time and at our sole discretion, with or without prior notice. Changes take effect immediately upon posting to the Platform. We will endeavour to notify you of material changes by email or in-app notice where reasonably practicable, but it is your responsibility to review these Terms periodically. Continued use of the Platform after any changes constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Platform immediately.

12. Governing Law

These Terms are governed by the laws of Singapore. Any disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.
